Terms of Service

Welcome to StudioFlow (“StudioFlow,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the StudioFlow website, applications, and related services (collectively, the “Platform”).

By accessing or using StudioFlow, you agree to these Terms. If you do not agree, you may not use the Platform.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use StudioFlow.

By creating an account, you represent that:

  • The information you provide is accurate.
  • You have the authority to enter into this agreement.
  • You will comply with all applicable laws.

2. Your Account

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activity that occurs under your account
  • Keeping your account information current

You agree not to:

  • Share your login credentials
  • Create multiple fraudulent accounts
  • Impersonate another person or business
  • Use another user’s account without permission

StudioFlow may suspend or terminate accounts that violate these Terms.

3. Our Services

StudioFlow provides tools that may include:

  • Job marketplace
  • Company directory
  • Creator profiles
  • Project management
  • Video review and approvals
  • Messaging
  • File sharing
  • Portfolio hosting
  • Team collaboration
  • Payment integrations
  • AI-powered productivity features

Features may change, be updated, or discontinued without notice.

4. User Content

You retain ownership of the content you upload, including:

  • Videos
  • Images
  • Audio
  • Documents
  • Logos
  • Portfolio materials
  • Messages
  • Comments

By uploading content, you grant StudioFlow a limited license to store, display, process, and transmit your content solely to operate and improve the Platform.

We do not claim ownership of your work.

5. Acceptable Use

You agree not to upload or distribute content that:

  • Violates copyright or intellectual property rights
  • Contains malware or malicious code
  • Is fraudulent or misleading
  • Promotes illegal activity
  • Contains hate speech or threats
  • Is sexually explicit where prohibited
  • Invades another person’s privacy

StudioFlow may remove content that violates these Terms.

6. Marketplace Rules

StudioFlow connects creators, freelancers, companies, agencies, and clients.

StudioFlow is not:

  • An employer
  • A staffing agency
  • A recruiting firm
  • A party to contracts between users

Users are solely responsible for:

  • Negotiating projects
  • Delivering work
  • Making payments
  • Paying taxes
  • Meeting contractual obligations

StudioFlow is not responsible for disputes between users.

7. Payments

Some services may require payment.

If applicable:

  • Subscription fees are billed in advance.
  • Payments are processed by third-party payment providers.
  • Subscription fees are non-refundable except where required by law.
  • Failure to pay may result in suspension of services.

Taxes are your responsibility unless otherwise stated.

8. Video Storage

StudioFlow may allow users to upload and store videos.

You acknowledge that:

  • Upload limits may apply.
  • Storage limits may vary by plan.
  • We may compress or optimize media for streaming.
  • Deleted content may remain in backups for a limited period.

Users should always maintain their own backups.

StudioFlow is not intended to serve as your sole archive.

9. Messaging

Messages sent through StudioFlow should remain professional.

You may not use the messaging system to:

  • Send spam
  • Harass users
  • Solicit illegal services
  • Circumvent platform policies
  • Spread malware

We reserve the right to investigate abuse.

10. Intellectual Property

StudioFlow, including its:

  • Software
  • Design
  • Branding
  • Logos
  • Graphics
  • User interface
  • Documentation

are owned by StudioFlow or its licensors and are protected by intellectual property laws.

You may not copy, reverse engineer, or redistribute the Platform without permission.

11. AI Features

Some features may use artificial intelligence to assist with:

  • Project organization
  • Content generation
  • Workflow automation
  • Recommendations
  • Search
  • Productivity

AI-generated results are provided for convenience and may not always be accurate.

Users remain responsible for reviewing all AI-generated content before relying on it.

12. Availability

We strive to provide reliable service but cannot guarantee uninterrupted availability.

StudioFlow may experience:

  • Maintenance
  • Updates
  • Temporary outages
  • Third-party service interruptions

We are not liable for losses caused by downtime.

13. Third-Party Services

StudioFlow may integrate with services such as:

  • Cloud storage providers
  • Payment processors
  • Email providers
  • Video hosting services
  • Calendar services
  • AI providers

Your use of those services is governed by their own terms and privacy policies.

14. Termination

You may delete your account at any time.

StudioFlow may suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraud
  • Abuse other users
  • Threaten platform security
  • Fail to pay applicable fees

Termination does not relieve you of outstanding payment obligations.

15. Disclaimers

StudioFlow is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee:

  • That jobs will be filled
  • That creators will receive work
  • That clients will hire
  • That files will never be lost
  • That the Platform will be error-free

16. Limitation of Liability

To the fullest extent permitted by law, StudioFlow and its affiliates shall not be liable for:

  • Lost profits
  • Lost business opportunities
  • Lost data
  • Indirect damages
  • Incidental damages
  • Consequential damages

Our total liability shall not exceed the amount you paid to StudioFlow during the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless StudioFlow, its officers, employees, and affiliates from claims arising out of:

  • Your use of the Platform
  • Your uploaded content
  • Your violation of these Terms
  • Your violation of another person’s rights

18. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will update the Effective Date and may notify users through the Platform or by email.

Continued use of StudioFlow constitutes acceptance of the revised Terms.

19. Governing Law

These Terms are governed by the laws of the State of Montana, without regard to conflict of law principles.

Any legal disputes shall be resolved in the appropriate courts located in Montana unless otherwise required by applicable law.
